“Corporate Governance reform is often promoted as an unequivocal good, at least by many of those who are advocating it. The equation is a simple but compelling one. Corporations, and their management, have considerable power. The exercise of this power can inflict harm, sometimes on shareholders, sometimes on wider stakeholder groups, or lead to waste and mismanagement. Corporate governance reforms are seen as useful risk management devices that increase the pressure on corporations and their management to avoid these problems without inhibiting the potential for those corporations to be entrepreneurial and innovative. They have the aIDed utility of shifting the regulatory burden away from the state by encouraging (in theory, if not always in practice) improved ethical behaviour by corporate entities and lessening (again in theory, if not always in practice) the necessity for the state to become enmeshed in direct monitoring of the behaviour of corporate actors. However, not all reforms are equal in their scale, scope, effectiveness and utility.”

b) carry out the necessary research so as to fully inform your answer.
c) demonstrate in your writing that you understand and have applied your research.
d) make appropriate use of case law and academic journal articles.
e) explain your reasoning in a clear and cogent fashion.

These factors will be taken into account in the marking process, as will grammar, sentence construction and spelling. Therefore you are advised to check your work before submitting it, and use appropriate spelling and grammar check software wherever possible.

Return of Marked Work                                                                                                        You can expect to have marked work returned to you by 3 weeks after the submission date.
